Responsibilities:
- Lead and manage all legal aspects of M&A transactions, including due diligence, negotiation, and closing.
- Draft, review, and negotiate a wide range of legal agreements, including acquisition agreements, merger agreements, and joint venture agreements.
- Provide expert legal counsel on corporate governance, securities law, and regulatory compliance matters.
- Conduct thorough legal due diligence investigations on potential acquisition targets.
- Identify and assess legal risks associated with M&A transactions and develop mitigation strategies.
- Collaborate closely with internal business teams, external counsel, and investment bankers throughout transaction processes.
- Advise on post-merger integration legal considerations.
- Manage outside counsel relationships and ensure efficient cost management.
- Stay current with changes in relevant laws and regulations impacting M&A and corporate law.
- Develop and implement legal policies and procedures to ensure compliance and best practices.
- Assist with corporate finance transactions and other general corporate legal matters as needed.
- Prepare legal documentation for board of directors' meetings and shareholder communications.
- Contribute to the development of legal strategy and risk management frameworks.
- Provide training to business teams on legal requirements related to M&A and corporate matters.
- Maintain a high level of professionalism and ethical conduct.
- Juris Doctor (JD) or equivalent law degree from an accredited institution.
- Admission to the Indonesian Bar Association and in good standing.
- Minimum of 6 years of experience in corporate law, with a significant focus on M&A transactions, preferably gained at a reputable law firm or in-house legal department.
- Proven experience managing all phases of M&A deals, from initiation to closing.
- In-depth knowledge of corporate law, securities law, and transaction structures.
- Exceptional negotiation, drafting, and analytical skills.
- Strong understanding of financial statements and business principles relevant to M&A.
- Excellent written and verbal communication skills.
- Ability to work independently, manage multiple priorities, and meet tight deadlines.
- High level of attention to detail and commitment to accuracy.
- Experience advising on cross-border transactions is a plus.
- Ability to work collaboratively within a legal department and with business stakeholders.
- Integrity, professionalism, and sound judgment.
